1. Introduction and Acceptance of Terms

Welcome to www.iotflows.com (the "Site" or "Website"), owned and operated by IoTFlows Inc., a Delaware corporation ("IoTFlows," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, products, hardware equipment, software, cloud services, and all related services (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICES. By accessing or using our Services, creating an account, or purchasing our products, you agree to be bound by these Terms, including all policies referenced herein. These Terms apply to all users, including browsers, customers, organizations, businesses, and content contributors.

If you do not agree with any part of these Terms, you must not use the Services. Your continued use of the Services constitutes acceptance of these Terms as modified from time to time.

2. Definitions

For purposes of these Terms, the following definitions apply:

"Services"
means all IoTFlows products, software, hardware equipment, cloud platform services, APIs, mobile applications, and related services offered through our website or otherwise.
"Equipment" or "Hardware"
means physical devices sold or provided by IoTFlows, including BeamTracker, SenseAI, SenseAI Embedded, routers, and accessories.
"Subscription Service"
means the recurring cloud platform service that provides data processing, analytics, dashboards, alerts, API access, and other software features.
"Organization"
means a business entity, company, or group that creates an account and purchases Services.
"Organization Owner"
means the individual(s) with administrative rights to manage an Organization account, make purchases, and manage billing.
"User" or "you"
means any individual accessing or using the Services, whether as an Organization Owner, team member, or guest.
"Subscription Plan"
means the pricing tier and billing interval (Monthly, Annual, or 3-Year) selected for your Subscription Service.

3. Eligibility and Account Registration

3.1 Age Requirement. You must be at least 18 years of age to use the Services. If you are under 18, you may only use the Services with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

3.2 Account Creation. To access certain features of the Services, you must create an account. When registering, you agree to provide current, complete, and accurate information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Organization Accounts. Purchases require an Organization account. Only users designated as "Organization Owners" may make purchases and manage billing. You may not share account credentials with unauthorized individuals.

3.4 Authorization for Credit Checks. By making a purchase, you expressly authorize us to transmit or obtain information (including updated information) about you from third parties, including credit/debit card information and credit reports, to authenticate your identity, validate payment methods, obtain payment authorization, and process transactions.

4. Description of Services

IoTFlows provides industrial IoT monitoring solutions combining hardware devices with cloud-based analytics and collaboration tools. Our Services include, but are not limited to:

4.1 Hardware Products. We offer various IoT sensor devices and monitoring equipment designed for industrial applications. Hardware specifications, features, and capabilities vary by product model. Most hardware products require an active Subscription Service to access cloud-based features and analytics. Current hardware products, specifications, and pricing are available on our website.

4.2 Accessories and Add-Ons. We offer various accessories, components, and add-on products to support and extend the functionality of our hardware products. Current accessories and pricing are available on our website.

4.3 Subscription Service. Our cloud-based Subscription Service provides data processing, storage, analytics, dashboards, alerts, mobile applications, API access, collaboration tools, and related software features. We offer multiple subscription tiers with pricing based on factors including device quantity, feature set, and billing interval. Volume discounts may be available. Current subscription plans, features, rates, and pricing tiers are displayed during checkout and on our pricing pages.

4.4 Modifications to Services. We reserve the right to add, modify, discontinue, or change the specifications, features, or pricing of any product or service at any time, in our sole discretion, without prior notice. Changes to pricing will not affect existing orders or current billing periods for active subscriptions.

5. Hardware Equipment

5.1 Ownership. Unless explicitly stated otherwise at the time of purchase, all Equipment purchased from IoTFlows becomes your property upon full payment. However, all software, firmware, code, algorithms, and embedded intellectual property within the Equipment remain the exclusive property of IoTFlows. You receive only a limited, non-exclusive, non-transferable license to use such software as part of the Equipment for its intended purpose. Equipment provided under rental or trial programs remains IoTFlows property.

5.2 Hardware Warranty. All IoTFlows hardware products are covered by a 1-year limited warranty from the date of purchase. This warranty covers manufacturing defects in materials and workmanship under normal use. The warranty does not cover: (a) damage caused by accident, abuse, misuse, flood, fire, or other external causes; (b) damage caused by operating the product outside its permitted or intended uses; (c) damage caused by unauthorized modifications or repairs; (d) cosmetic damage that does not affect functionality; or (e) normal wear and tear.

To obtain warranty service, contact support@iotflows.com with proof of purchase. IoTFlows will, at its option, repair or replace the defective product. This warranty is your exclusive remedy. THIS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

5.3 Software Updates. You authorize IoTFlows to automatically install software upgrades, updates, and patches on any Equipment we provide. You agree not to use IoTFlows Equipment for any purpose other than accessing and using the Services.

6. Subscription Terms

6.1 Subscription Plans and Pricing. Subscription Service pricing is based on (a) the number of devices connected, (b) the billing interval selected (Monthly, Annual, or 3-Year), and (c) volume tier discounts. We offer tiered pricing with significant discounts for higher device quantities and longer billing commitments. Current pricing is displayed at checkout, on our pricing pages, and confirmed in your order confirmation.

6.2 Auto-Renewal. YOUR SUBSCRIPTION AUTOMATICALLY RENEWS at the end of each billing period (monthly, annual, or 3-year) unless you cancel before the renewal date. You will be charged the then-current subscription rate using your designated payment method. You are responsible for reviewing and understanding your subscription renewal terms.

6.3 Upgrading Subscription Plans. You may upgrade your Subscription Plan at any time (e.g., increasing device count, changing from Monthly to Annual billing). Upgrades are prorated — you will be charged immediately for the prorated difference between your current plan and the upgraded plan for the remainder of your current billing period. The upgraded plan will then renew at the new rate at your next billing date.

6.4 Cancellation Policy. You may cancel your Subscription Service at any time through your account settings or by contacting support@iotflows.com. IMPORTANT: SUBSCRIPTION FEES ARE NON-REFUNDABLE. If you cancel, you will NOT receive a refund or proration for any remaining time in your current billing period. Your access to the Subscription Service will continue until the end of your current billing period, after which your subscription will terminate and will not renew.

6.5 Downgrading Subscription Plans. You may downgrade your Subscription Plan (e.g., reducing device count, changing from Annual to Monthly billing) at any time. Downgrades are NOT prorated. Your current plan will remain active until the end of your current billing period. The downgraded plan and pricing will take effect at your next billing date. You will not receive a refund or credit for the difference.

6.6 Termination and Equipment. If you cancel all Services, any Equipment you purchased becomes yours to keep, recycle, or dispose of responsibly. Equipment provided under rental or trial programs must be returned to IoTFlows in working condition with all accessories within 60 days of cancellation. Failure to return rental or trial Equipment will result in charges for replacement costs.

7. Pricing and Payment

7.1 Fees and Charges. You agree to pay all fees for Services you purchase, whether ordered by you, someone authorized by you, or someone with access to your account. All prices are in U.S. Dollars. We may change pricing at any time; however, price changes will not affect existing orders or current billing periods for active subscriptions.

7.2 Volume Discounts. Subscription Service pricing includes volume-based discounts. Discounts automatically apply based on the total number of devices in your subscription. Discount tiers are available at 5, 10, 20, 30, 40, 50, 75, and 100+ devices. Current discount rates are displayed during checkout and available on our pricing pages.

7.3 Payment Methods and Billing. We accept major credit and debit cards processed through Stripe. You authorize IoTFlows to automatically charge your designated payment method for: (a) one-time hardware purchases, (b) recurring subscription fees (charged in advance of each billing period), and (c) any applicable late fees or additional charges. Invoices will be sent to your account email address indicating the charge date and amount.

7.4 Late Payments and Reconnection Fees. If payment is declined or not received, we may retry charging your payment method. If payment is more than 45 days past due, we may: (a) assess late payment fees, (b) suspend or terminate your Services, and (c) pursue collection. If we suspend your Services and you request reinstatement, we may charge a reconnection fee. You are responsible for any third-party fees (e.g., overdraft charges, foreign transaction fees) related to your payment method.

7.5 Taxes. All fees are exclusive of applicable federal, state, local, and foreign taxes, duties, tariffs, and similar assessments. You are responsible for all such taxes except those based on IoTFlows' net income. If we are required to collect or pay taxes for which you are responsible, you will be invoiced and must pay such amounts.

8. Free Trials and Promotional Offers

From time to time, we may offer free trials, promotional pricing, or discount codes. Such offers are subject to specific terms provided at the time of the offer. We reserve the right to modify or terminate promotional offers at any time. Unless otherwise stated, promotional offers cannot be combined and are limited to one per customer. We do not currently offer free trials of our Subscription Service.

9. Acceptable Use Policy

9.1 Permitted Uses. You may use the Site and Services only for lawful purposes and in accordance with these Terms. Your use is limited to non-commercial, internal business purposes unless you have a separate written agreement with IoTFlows.

9.2 Prohibited Activities. You agree NOT to:

  • Access the Services through any means other than the interface provided by IoTFlows
  • Gain unauthorized access to IoTFlows systems or interfere with the performance, functionality, or security of the Services
  • Use automated means (scripts, bots, crawlers) to access the Services
  • Collect or harvest any personally identifiable information from the Services
  • Reproduce, duplicate, copy, sell, trade, or resell the Services or any Equipment
  • Reverse engineer, decompile, or disassemble any software or Equipment
  • Use the Services to transmit viruses, malware, or malicious code
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of IoTFlows or any third party
  • Use IoTFlows trademarks or branding in a confusing or unauthorized manner

9.3 Organization Accounts and User Roles. If you are an Organization Owner, you are responsible for: (a) managing user access and permissions, (b) ensuring all users comply with these Terms, (c) protecting account credentials, and (d) all activities under your Organization account. You must promptly notify us of any unauthorized access or security breach.

10. Intellectual Property Rights

10.1 IoTFlows IP. All content on the Site and Services, including but not limited to text, graphics, logos, images, software, data compilations, and the compilation thereof (collectively, "Content"), is the property of IoTFlows or its licensors and is protected by U.S. and international copyright, trademark, patent, and other intellectual property laws. You may not reproduce, modify, distribute, display, perform, or create derivative works from any Content without our prior written permission.

10.2 User Data Ownership. You retain all ownership rights to data you input into the Services ("User Data"), including sensor data, production data, and analytics. You grant IoTFlows a limited, non-exclusive license to use, store, process, and display User Data solely to provide the Services to you. We may create anonymized, aggregated data from User Data for research, analytics, and service improvement purposes.

10.3 License to Use Service. Subject to your compliance with these Terms and payment of applicable fees, IoTFlows grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

10.4 Customer Showcase Rights. By using our Services, you grant IoTFlows the right to identify you as a customer and display your organization name, logo, and non-confidential success metrics (such as production improvements, uptime gains, or cost savings) on our website, marketing materials, and customer case studies. We will use reasonable efforts to obtain your approval before publishing detailed case studies or specific data. You may opt out of customer showcase usage by contacting legal@iotflows.com.

10.5 Feedback and Suggestions. If you provide feedback, suggestions, or ideas about the Services, you grant IoTFlows a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without any obligation to you.

11. Privacy and Data Protection

11.1 Privacy Policy. Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. Please review our Privacy Policy carefully.

11.2 Data Processing and Security. We implement appropriate technical and organizational measures to protect your data. However, no internet transmission is completely secure. You acknowledge that you transmit data at your own risk.

11.3 GDPR and CCPA Compliance. For users in the European Union, we comply with the General Data Protection Regulation (GDPR), including rights to access, correction, deletion, and data portability. For California residents, we comply with the California Consumer Privacy Act (CCPA), including rights to know what personal information we collect and the right to deletion. To exercise these rights, contact support@iotflows.com.

11.4 Data Retention and Portability. We retain your User Data for the duration of your subscription. Essential Plan customers receive 2 years of data retention; Enterprise Plan customers receive 5 years. You may export your data at any time through our platform or by contacting support. Upon termination, we will retain your data for 30 days before deletion, unless required by law to retain it longer.

12. Service Level and Availability

12.1 Uptime Commitments. We strive to maintain high availability of our cloud Services. While we target industry-standard uptime, we do not guarantee uninterrupted or error-free service. Enterprise customers may be eligible for Service Level Agreements (SLAs) with specific uptime commitments and service credits.

12.2 Maintenance and Downtime. We may perform scheduled maintenance that temporarily interrupts service. We will provide reasonable advance notice of scheduled maintenance when possible. We are not liable for any unavailability due to maintenance, upgrades, or circumstances beyond our reasonable control.

12.3 Service Credits. Enterprise customers with SLAs may be eligible for service credits if we fail to meet specified uptime commitments. Service credit terms, if applicable, are detailed in your Enterprise agreement.

13. Third-Party Services and Integrations

13.1 Third-Party Services. Our Services may integrate with or contain links to third-party services, websites, or applications. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms.

13.2 API Usage. If you use our APIs, you agree to comply with our API documentation and rate limits. We may modify, suspend, or terminate API access at any time. You may not use our APIs to create competing products or services, scrape data, or violate these Terms.

14. Warranties and Disclaimers

14.1 Hardware Warranty. As stated in Section 5.2, hardware products are covered by a 1-year limited warranty against manufacturing defects. This is your exclusive hardware warranty.

14.2 Service Warranty. We warrant that the Subscription Service will perform substantially in accordance with our published documentation. Your exclusive remedy for breach of this warranty is for us to use commercially reasonable efforts to correct the issue or, if we cannot, to refund prepaid fees for the affected portion of the Service.

14.3 Disclaimer Regarding Predictive Analytics and Health Monitoring. IOTFLOWS PROVIDES PREDICTIVE ANALYTICS, MACHINE HEALTH MONITORING, PRODUCTION FORECASTING, AND SIMILAR DATA-DRIVEN INSIGHTS ("PREDICTIVE DATA") FOR INFORMATIONAL PURPOSES ONLY. Predictive Data is based on algorithms, historical data patterns, and sensor readings, but is not guaranteed to be accurate, complete, or timely. YOU ACKNOWLEDGE AND AGREE THAT IOTFLOWS SHALL NOT BE LIABLE FOR ANY FAILURE TO PREDICT EQUIPMENT FAILURES, PRODUCTION ISSUES, SAFETY INCIDENTS, OR OTHER EVENTS, EVEN IF OUR SERVICES WERE MONITORING THE RELEVANT EQUIPMENT. You remain solely responsible for: (a) maintaining and inspecting your equipment according to manufacturer specifications, (b) implementing appropriate safety protocols, (c) making operational and maintenance decisions, and (d) any consequences of equipment failure or malfunction. Our Services are decision-support tools only and do not replace professional judgment, routine maintenance, or safety procedures.

14.4 Disclaimer of Other Warranties. EXCEPT AS EXPRESSLY PROVIDED IN SECTIONS 14.1 AND 14.2, THE SERVICES, EQUIPMENT, AND SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, IOTFLOWS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

15. Limitation of Liability

15.1 Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IOTFLOWS' TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO IOTFLOWS IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

15.2 Exclusion of Consequential Damages. IN NO EVENT SHALL IOTFLOWS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, EVEN IF IOTFLOWS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This limitation applies to all claims, whether based in warranty, contract, tort (including negligence), product liability, strict liability, or any other legal theory.

15.3 Exceptions. The limitations in this Section 15 do not apply to: (a) your breach of Section 9 (Acceptable Use Policy) or Section 10 (Intellectual Property Rights), (b) your indemnification obligations, (c) our gross negligence or willful misconduct, or (d) death or personal injury caused by our negligence, to the extent such limitations are prohibited by applicable law.

Some jurisdictions do not allow the limitation of liability for consequential or incidental damages, so some of the above limitations may not apply to you.

16. Indemnification

You agree to indemnify, defend, and hold harmless IoTFlows, its subsidiaries, affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Services
  • Your breach of these Terms
  • Your violation of any law, regulation, or third-party rights
  • Your User Data or any content you submit through the Services
  • Any negligent or wrongful conduct by you or anyone using your account

IoTFlows reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

17. Dispute Resolution

17.1 Informal Resolution. Before filing a claim, you agree to contact us at support@iotflows.com to attempt to resolve the dispute informally. We agree to do the same. Both parties agree to negotiate in good faith for at least 30 days before initiating formal proceedings.

17.2 Binding Arbitration. If informal resolution fails, you and IoTFlows agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (collectively, "Disputes") will be resolved by binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services) under its Streamlined Arbitration Rules and Procedures, rather than in court, except as provided in Section 17.4.

17.3 Arbitration Procedures. The arbitration will be conducted by a single neutral arbitrator. The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve all disputes. The arbitration will be held in Delaware or by videoconference. Each party will bear its own costs of arbitration, except that IoTFlows will pay all JAMS filing, administration, and arbitrator fees for claims under $10,000 unless the arbitrator finds the claim frivolous. The arbitrator may award attorneys' fees and costs to the prevailing party as permitted by law.

The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction. The parties agree that the arbitration will be kept confidential, and the existence of the proceeding and any submissions, orders, or awards will not be disclosed except as required by law.

17.4 Opt-Out Right. You have the right to opt out of binding arbitration within 30 days of first accepting these Terms by sending written notice to IoTFlows Inc., Attn: Legal Department, 1 Concourse Pkwy Suite 800, Atlanta, GA 30328, or by email to legal@iotflows.com. The notice must include your name, address, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, you and IoTFlows may pursue Disputes only in court, subject to Section 17.6.

17.5 Class Action Waiver. YOU AND IOTFLOWS AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ARBITRATION, CLASS ACTION, OR ANY OTHER KIND OF REPRESENTATIVE PROCEEDING. There will be no right or authority for any dispute to be brought, heard, or arbitrated as a class action or in a representative capacity on behalf of others. The arbitrator may not consolidate more than one party's claims and may not preside over any form of representative or class proceeding. If this class action waiver is found to be unenforceable, the entire arbitration agreement (Section 17.2-17.5) will be void.

17.6 Governing Law. These Terms and any Disputes shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. If arbitration does not apply (e.g., due to opt-out or invalidity), you agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware.

17.7 Exceptions to Arbitration. Either party may seek injunctive or other equitable relief in court to protect intellectual property rights or confidential information without first engaging in arbitration.

18. Termination and Suspension

18.1 Termination by User. You may terminate your account and cancel Services as described in Section 6. Termination will be effective at the end of your current billing period. You remain responsible for all charges incurred prior to termination.

18.2 Termination by IoTFlows. We may suspend or terminate your access to the Services immediately, without notice, if we reasonably believe you have: (a) breached these Terms, (b) engaged in fraudulent or illegal activity, (c) failed to pay amounts due, or (d) created risk or legal exposure for IoTFlows. We may also terminate or suspend Services for convenience with 30 days' notice.

18.3 Effects of Termination. Upon termination: (a) your right to use the Services will immediately cease, (b) you must return any rental or trial Equipment within 60 days (purchased Equipment remains your property to keep or recycle), (c) you will remain liable for all outstanding fees and charges, (d) any unpaid amounts will become immediately due, (e) we will retain your data for 30 days (after which it will be deleted), and (f) provisions of these Terms that by their nature should survive (including Sections 10, 15, 16, and 17) will remain in effect.

19. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by: (a) posting the updated Terms on our Site with a new "Last Modified" date, (b) sending an email to your account address, or (c) displaying a notice when you log in. Changes will be effective 30 days after notice (or immediately upon posting for non-material changes). Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services and cancel your account.

20. General Provisions

20.1 Entire Agreement. These Terms, together with our Privacy Policy, Cookie Policy, and any other policies referenced herein, constitute the entire agreement between you and IoTFlows regarding the Services and supersede all prior agreements and understandings.

20.2 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

20.3 Assignment. You may not assign or transfer these Terms or any rights granted hereunder, by operation of law or otherwise, without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.

20.4 Force Majeure. IoTFlows will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes or shortages of transportation, facilities, fuel, energy, labor, or materials, internet outages, or failures of third-party services (including cloud hosting providers).

20.5 No Waiver. Our failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision. No waiver will be effective unless in writing and signed by an authorized IoTFlows representative.

20.6 Electronic Communications. By using the Services, you consent to receive electronic communications from us, including emails, notices, and agreements. You agree that all such electronic communications satisfy any legal requirement that communications be in writing.

20.7 Export Controls. The Services and Equipment may be subject to U.S. export control laws and regulations.
